Terms of Use
Carefully read these terms and conditions of use ("Terms of Use") as they govern your access to and use of CADMEN Clinic's ("CADMEN Clinic," "we," "us," and "our") Platform and Services. Your acceptance of, and compliance with, these Terms of Use is a condition to your use of the following:

Any products ("Products") available for purchase through our Website or at our clinics; and
The treatments and services ("Services") made available through our Website and at our clinics.
Our Website, online booking, and the non-clinical business support services are collectively referred to as our "Platform."
CADMEN Clinic is a medical spa operating in Ontario, Canada that provides medical-grade hair restoration and aesthetic treatments. Our treatments are delivered by licensed health care providers (each, a "Provider") at our clinics. The professional services provided by our Providers are collectively referred to in these Terms of Use as the "Services."
By clicking "Accept" or by booking or receiving Services, you acknowledge that you have read in its entirety, understand, and fully accept all terms and conditions contained in these Terms of Use, our Privacy Policy, and our Notice of Privacy Practices. If you do not agree to be bound by these Terms of Use and our Privacy Policy, you are not authorized to access or use our Platform and/or the Services; PROMPTLY EXIT THIS WEBSITE.
1. Services Provided
CADMEN Clinic is a medical spa that provides medical-grade hair restoration and aesthetic treatments in Ontario, Canada. Our Services are delivered in person at our clinics by licensed health care providers and qualified staff. Treatment decisions are made by a licensed Provider based on an assessment of your individual circumstances, and the suitability and outcome of any treatment may vary from person to person. Information made available through our Platform is provided for general informational purposes and is not a substitute for an in-person assessment, diagnosis, or treatment by a qualified health professional. You should contact our clinical team directly for all questions concerning your care.
2. Not For Emergencies
Our Platform and the Services are not for medical emergencies or urgent situations. You should not disregard or delay seeking medical advice based on anything that appears or does not appear on our Platform. If you believe you are experiencing an emergency, call 9-1-1 immediately.
You should seek emergency help or follow-up care when recommended by a Provider or when otherwise needed. You should continue to consult with your family doctor and other healthcare professionals as recommended. Always seek the advice of a physician or other qualified healthcare provider concerning questions you have regarding a medical condition and before stopping, starting, or modifying any treatment.
3. Risk of Virtual Consultations
We may offer consultations by phone or video for your convenience. By using a virtual consultation, you acknowledge its potential limitations. These include but are not limited to the following: information transmitted may not be sufficient (e.g. poor resolution of images) to allow for appropriate decision making by the Provider; delays in evaluation could occur due to failures of electronic equipment; a lack of access to your full medical records may affect the assessment; and, although the electronic systems we use incorporate security protocols to protect the privacy and security of health information, those protocols could fail. A virtual consultation may not be a complete substitute for an in-person assessment, and your Provider may recommend that you attend our clinic in person.
4. Privacy Practices
You agree that information provided by you in connection with the Platform and the Services shall be governed by our Privacy Policy, which is hereby incorporated and made part of these Terms of Use. Personal health information collected in the course of providing care is also governed by our Notice of Privacy Practices and Ontario's Personal Health Information Protection Act, 2004, each of which is incorporated and made part of these Terms of Use.
5. Treatment and Prescription Policy
Certain treatments and products available through CADMEN Clinic require an assessment by a licensed Provider. You will not be able to obtain such a treatment or product unless you have completed a consultation with one of our Providers, the Provider has determined the treatment or product is appropriate for you, and, where applicable, the Provider has written a prescription or treatment plan. You agree that any prescription you receive is solely for your personal use. You agree to read carefully all provided product and aftercare information and to contact your Provider or a pharmacist if you have any questions. We honour your freedom of choice and, if you receive a prescription, you may have it filled at the pharmacy of your choice.
6. Not an Insurance Product
We are not an insurer, nor do we offer an insurance plan or product. The amounts you pay to us for any Services are not insurance premiums. Some treatments may be eligible for reimbursement through a health spending account or extended health benefits plan, but eligibility is determined solely by your plan, not by CADMEN Clinic. If you desire any type of health or other insurance, you will need to obtain it separately.
7. Ownership of the Platform
The Platform contains confidential and proprietary information, materials, data, content, processes, software, text, displays, images, video, audio, trademarks, logos, service marks, features and functionality, and the design, selection and arrangement thereof, which are owned by CADMEN Clinic, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, and other intellectual property or proprietary rights laws (collectively, the "Content").
These Terms of Use permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Platform, including but not limited to Content, except: (a) your device may temporarily store copies of such materials incidental to your accessing and viewing those materials; (b) you may store files that are automatically cached by your Web browser for display enhancement purposes; and (c) you may print or download one copy of a reasonable number of pages of the Platform for your own personal, non-commercial use and not for further reproduction, publication or distribution. You must not: (a) modify copies of any materials from the Platform; (b) use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text; or (c) delete or alter any copyright, trademark or other proprietary rights notices.
You may not frame or utilize framing techniques to enclose, or deep link to, any name, trademark, service mark, logo, content, or other proprietary information of CADMEN Clinic without our express written consent. If you use any part of the Platform in breach of these Terms of Use, your right to use the Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Platform or any content on it is transferred to you, and all rights not expressly granted are reserved by CADMEN Clinic.
8. Availability of Services
CADMEN Clinic operates subject to provincial and federal regulations, and the Platform and Services may not be available in your location. Our clinics and Services are located in and offered to residents of Ontario, Canada. Access to and use of the Platform is intended for users located in Canada. Accessing the Platform from jurisdictions where content is illegal, or where we do not offer the Platform, is prohibited.
9. Access to Platform, Security, and Restrictions; Passwords
You are prohibited from violating or attempting to violate the security of the Platform, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account which the user is not authorized to access; (b) attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; or (c) accessing or using the Platform or any portion thereof without authorization, in violation of these Terms of Use or applicable law.
Except for accessibility purposes, you may not use any scraper, crawler, spider, robot or other automated means of any kind to access or copy data on the Platform, deep-link to any feature or content on the Platform, or bypass measures we may use to prevent or restrict access to the Platform. The Platform offers accessibility options consistent with the Accessibility for Ontarians with Disabilities Act, 2005. Violations of system or network security may result in civil or criminal liability. CADMEN Clinic will investigate occurrences that may involve such violations and may cooperate with law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software, or routine to interfere with the proper working order of the Platform.
In the event access to the Platform or a portion thereof is limited requiring a user ID and password ("Protected Areas"), you agree to access Protected Areas using only your user ID and password as provided to you by us. You agree to protect the confidentiality of your user ID and password, and not to share or disclose them to any third party. You agree that you are fully responsible for all activity occurring under your user ID. Your access to the Platform may be revoked by CADMEN Clinic at any time with or without cause. You agree to defend, indemnify, and hold CADMEN Clinic harmless from and against all third party claims, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms of Use or violation of applicable law, your use or access of the Platform, or access by anyone using your user ID and password.
If you submit, upload, post, or transmit any health information, medical history, personal information, consent forms, comments, files, images, or other materials to us or our Platform ("User Information"), you agree not to provide any User Information that (a) is false, inaccurate, defamatory, abusive, unlawful, obscene, threatening, harassing, fraudulent, or harmful; (b) violates or infringes the privacy, copyright, trademark, trade secrets, or intellectual property rights of any person or entity; or (c) contains or transmits a virus or any other harmful component. You represent and warrant that you have the legal right and authorization to provide all User Information to CADMEN Clinic for use as set forth herein.
CADMEN Clinic may de-identify your information such that it is no longer considered personal health information or personally identifiable information. CADMEN Clinic may use, aggregate, or otherwise disclose such de-identified information for analytics, research, or any other purpose permitted by applicable law.
10. No Users Under 18 Years Old
In order to access the Platform and the Services, you represent and warrant that you are 18 years old or older. If you are under the age of 18, please do not attempt to register with us on the Platform or provide any personal information about yourself to us. If we learn that we have collected personal information from someone under the age of 18, we will promptly delete that information. 11. Your Account
You agree to: (a) provide true, accurate, current, and complete information when registering to use the Platform and establishing your account ("Registration Information") and (b) maintain and promptly update the Registration Information to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or we have reasonable grounds to suspect as much, we may suspend or terminate your account. You are entirely responsible for maintaining the confidentiality of any passwords and for all usage and activities that occur in connection with your account. You agree not to allow others to access your account or use your password.
12. Accuracy and Integrity of Information; Colours
Although we attempt to ensure the integrity and accuracy of the Platform, we make no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Platform and Content thereon. It is possible that the Platform could include typographical errors, inaccuracies, or other errors, and that unauthorized additions, deletions, and alterations could be made to the Platform by third parties. In the event that an inaccuracy arises, please inform us so that it can be corrected. We reserve the right to unilaterally correct any inaccuracies on the Platform without notice. Information contained on the Platform may be changed or updated without notice.
We have made significant efforts to accurately display the colours of any products that appear on the Platform. However, as the actual colours you see will depend on your monitor, we cannot guarantee that your monitor's display of any colour will be accurate.
13. Typographical Errors and Incorrect Pricing
In the event a Product or Service is listed at an incorrect price due to typographical error or error in pricing information, we shall have the right to refuse or cancel any orders placed for a Product or Service listed at the incorrect price. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is cancelled, we shall promptly issue a credit to your credit or debit card account in the amount of the incorrect price.
14. Notice and Procedure for Making Claims of Copyright Infringement
If you believe that material available on our Platform infringes your copyright, you may notify our copyright agent by providing the following information:
A description of the copyrighted work or other intellectual property that you claim has been infringed.
A description of the material that you claim is infringing, and where it is located on the Platform.
An address, telephone number, and email address where we can contact you.
A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.
Your electronic or physical signature.

15. Orders and Purchases
Online Payments
You can purchase products or pay for Services on the Platform or at our clinics. To simplify your experience, you are able to pay for your purchases via the Platform. Before completing a purchase, you will see the price for the Products or Services you are purchasing, including any applicable taxes. Financing may be available for certain treatments through our third-party financing partner, subject to that partner's approval and terms.
Payment Terms
We accept credit and debit cards issued by Canadian banks. If a credit card account is being used for a transaction, we may obtain preapproval for an amount up to the amount of the payment. If you enrol to make recurring payments automatically, all charges and fees will be billed to the payment method you designate. If you want to designate a different payment method, you must update your information. You represent and warrant that (a) any payment information you supply is true, correct, and complete; (b) charges incurred by you will be honoured by your card issuer or bank; (c) you will pay the charges incurred in the amounts posted, including any applicable taxes; and (d) you are authorized to use the payment method. If we are unable to secure funds from the payment method you provide for any reason, we may undertake further collection action to the extent permitted by law.
16. Order Acceptance
We reserve the right, at our sole discretion, to refuse or cancel any order or appointment for any reason. Your account may also be restricted or terminated for any reason, at our sole discretion. Some situations that may result in your order being cancelled include limitations on availability, inaccuracies or errors in product, service, or pricing information, or problems identified by our payment or fraud-prevention processes. We may also require additional verification or information before accepting any order. We will contact you if all or any portion of your order is cancelled or if additional information is required. If your order is cancelled after your payment method has been charged, we will issue a credit in the amount of the charge.
17. Refunds and Cancellations
CADMEN Clinic provides treatments and services rather than returnable products. Services are generally non-refundable; however, we review concerns on a case-by-case basis and aim to find a fair resolution. Because results from medical and hair-growth treatments can vary from person to person, results are not guaranteed. Appointment cancellations and late arrivals are governed by our Cancellation & Late Policy.
18. Links to Other Sites
We make no representations whatsoever about any other website that you may access through the Platform. When you access a non-CADMEN Clinic website, please understand that it is independent from us, and that we have no control over the content on that website. A link to a non-CADMEN Clinic website does not mean that we endorse or accept any responsibility for the content, or the use, of the linked website. It is up to you to take precautions to ensure that whatever you select for your use or download is free of viruses and other destructive items. If you decide to access any third party websites linked to the Platform, you do this entirely at your own risk.
19. Consent to Receive Calls, Text Messages, and Audio and/or Video Recording
By providing your mobile number, you are agreeing to be contacted by or on behalf of CADMEN Clinic at the mobile number you have provided, including calls and text messages, to receive service-related (e.g., appointment reminders, progress tracking) messages and communications relating to the Platform and your care. Message and data rates may apply. To stop receiving text messages, reply STOP. We may confirm your opt out by text message. Please note that by withdrawing your consent, some of the functions provided by the Platform may no longer be available to you, and you may not receive helpful reminders about your appointments.
CADMEN Clinic or your Provider may, with your consent where required, record (audio and/or video) all or part of your interaction with us for quality assurance and training purposes and to help us improve the Platform and our Services.
20. Anti-Spam Compliance
CADMEN Clinic is committed to complying with Canada's Anti-Spam Legislation ("CASL"). We will only send you commercial electronic messages where we have your consent or are otherwise permitted to do so by law, and every such message will identify us and include an easy way to unsubscribe. You consent to receive text messages from us as set forth in the section above, Consent to Receive Calls, Text Messages, and Audio and/or Video Recording. In the event you receive an e-mail or text message from us that you do not believe complies with CASL, please Contact Us.
21. Electronic Communications
When you use the Platform, or send e-mails, messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing. CADMEN Clinic may contact you by telephone, mail, text (SMS), or e-mail to verify your information and may request further information from you to ensure that the Platform has not been used fraudulently. If you do not provide this information in the manner requested within 14 days of the request, we reserve the right to suspend, discontinue, or deny your access to and use of our Platform until you provide the information.
22. External Services
The Platform may enable access to CADMEN Clinic's and/or third-party services and websites, including social media sites (collectively and individually, "External Services"). You agree to use the External Services at your sole risk. We are not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. You will not use the External Services in any manner that is inconsistent with these Terms of Use or that infringes the intellectual property rights of CADMEN Clinic or any third party. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. We reserve the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.
23. Reviews, Testimonials, and Patient Content
You may have the opportunity to submit reviews, testimonials, photographs (including before-and-after images), comments, or other materials to us or to public platforms ("Patient Content"). You agree not to submit any Patient Content that (a) is defamatory, abusive, unlawful, obscene, threatening, harassing, fraudulent, or harmful; (b) violates or infringes the privacy, copyright, trademark, or intellectual property rights of any person or entity; or (c) contains or transmits a virus or other harmful component. You represent and warrant that you have the legal right to submit the Patient Content. Where you provide consent for us to use your photographs, testimonial, or review, you grant CADMEN Clinic a royalty-free, transferable licence to use, reproduce, and display that content for marketing and educational purposes, in accordance with the consent you provided and our Privacy Policy. You may withdraw your consent to future use at any time by contacting us. CADMEN Clinic is under no obligation to use, monitor, or respond to any Patient Content and may remove it at any time.
24. No Third Party Rights
Unless expressly stated in these Terms of Use, nothing herein is intended to confer any rights, obligations, duties, or remedies on any person other than you, CADMEN Clinic, and its affiliates. Nothing in the Terms of Use is intended to relieve or discharge the obligation or liability of any third persons to you, CADMEN Clinic, and its affiliates, nor shall any provision give any third parties any right of subrogation or action over against you, CADMEN Clinic, and its affiliates. The Platform is only provided for your benefit and may not be relied on by any third party.
25. Governing Law; Dispute Resolution
We will try in good faith to resolve any issue you have with the Platform or with the Products and Services you receive, if you bring that issue to the attention of our patient care team. These Terms of Use, and any dispute, claim, or controversy arising out of or relating in any way to these Terms of Use, the Platform, or your use of the Services, are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any rights you may have under applicable consumer protection legislation, including Ontario's Consumer Protection Act, 2002, you and CADMEN Clinic agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any such dispute. Nothing in these Terms of Use limits or waives any right or remedy you may have under applicable consumer protection law that cannot be limited or waived by contract.
26. Indemnification
You agree to defend, indemnify, and hold CADMEN Clinic and any affiliates harmless from and against any and all rights, demands, losses, liabilities, damages, claims, causes of action, actions, and suits (whether at law or equity), fees, costs, and legal fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i) your use or misuse of the Platform, Products, Services, or any information posted on the Platform; (ii) your breach of the Terms of Use or Privacy Policy; (iii) the content or subject matter of any information you provide to CADMEN Clinic, your Provider, or a member of our team; or (iv) any negligent or wrongful act or omission by you in your use or misuse of the Platform, Products, Services, or any information on the Platform, including without limitation, infringement of third party intellectual property rights, privacy rights, or negligent or wrongful conduct.
27. Disclaimer of Warranties
CADMEN CLINIC DOES NOT WARRANT THAT ACCESS TO OR USE OF THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE PLATFORM WILL BE CORRECTED. THE PLATFORM, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SERVICE RELATED TO THE PLATFORM, IS PROVIDED "AS IS," WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OF INFORMATION, QUIET ENJOYMENT, AND TITLE/NON-INFRINGEMENT. CADMEN CLINIC DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE INFORMATION OBTAINED THROUGH THE PLATFORM. NOTHING IN THESE TERMS OF USE LIMITS ANY WARRANTY OR LEGAL GUARANTEE THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE PLATFORM, PLATFORM-RELATED SERVICES, AND LINKED WEBSITES. CADMEN CLINIC DOES NOT WARRANT THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE PROGRAMMING. YOU ARE RESPONSIBLE FOR IMPLEMENTING PROCEDURES SUFFICIENT TO SATISFY YOUR NEEDS FOR DATA BACK UP AND SECURITY.
28. Limitation of Liability Regarding Use of Platform and Services
CADMEN CLINIC AND ANY THIRD PARTIES MENTIONED ON THIS PLATFORM ARE NEITHER RESPONSIBLE NOR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING IN ANY WAY TO THE PLATFORM, PLATFORM-RELATED SERVICES, CONTENT, OR INFORMATION CONTAINED WITHIN THE PLATFORM, AND/OR ANY LINKED WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PLATFORM, PLATFORM-RELATED SERVICES, AND/OR LINKED WEBSITES IS TO STOP USING THE PLATFORM AND/OR THOSE SERVICES. TO THE EXTENT ANY ASPECTS OF THE FOREGOING LIMITATIONS OF LIABILITY ARE NOT ENFORCEABLE, THE MAXIMUM AGGREGATE LIABILITY OF CADMEN CLINIC TO YOU WITH RESPECT TO YOUR USE OF THE PLATFORM AND SERVICES IS $500 (FIVE HUNDRED DOLLARS). NOTHING IN THESE TERMS OF USE EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR PERSONAL INJURY CAUSED BY NEGLIGENCE.
29. Force Majeure
We will not be deemed to be in breach of these terms or liable for any failure or delay in fulfilling or performing any term of these Terms of Use or our Privacy Policy, when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including, without limitation, the following force majeure events ("Force Majeure Event(s)"): (a) acts of God; (b) flood, fire, earthquake, explosion, pandemic, or epidemic; (c) war, invasion, hostilities, terrorist threats or acts, riot or other civil unrest; (d) government order, law, or actions; (e) embargoes or blockades; (f) national or regional emergency; and (g) other events beyond the reasonable control of CADMEN Clinic. We will do our best to provide notice within thirty (30) days of the Force Majeure Event, and will resume performance as soon as reasonably practicable after the cause is removed.

You are not permitted to use these Marks without our prior written consent or the consent of such third party which may own the Marks.
31. Revisions; General
CADMEN Clinic reserves the right, in its sole discretion, to terminate your access to all or part of the Platform, with or without cause, and with or without notice. In the event that any of the Terms of Use are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect. These Terms of Use constitute the entire agreement between CADMEN Clinic and you pertaining to the subject matter hereof. In its sole discretion, CADMEN Clinic may from time to time revise these Terms of Use by updating this posting. You should periodically visit this page to review the current Terms of Use. Your continued use of the Platform after revisions shall constitute your agreement to the revised Terms of Use.
